Are you looking for formal or casual? My recommendations would be Farmhouse Tap & Grill, Bluebird Tavern or L'amante. All are downtown and popular.
Keep in mind that Burlington has a First Night event so parking is usually a mess on NYE.

re: Morganna
This is easy: go to the Clover House in Colchester. Seriously. Wonderful food. We won't be here for NYE, but if we were, that's where we'd be.

re: Morganna
Yeah, Silver Palace. We went for lunch on Saturday while we were up in the area doing our monthly shopping. I needed to get some things at Gagan market. I know I know I can make my own paneer, but I work full time, darnit! ;) I came out and my husband said wryly, "That doesn't look like just sesame seeds" (which was the ostensible reason for going). I can't ever come out of there with just one thing. :) So we had lunch there after hitting Gagan. :)

re: clalomia
Silver Palace is great. There is a new restaurant right in front of Higher Ground called Wooden Spoon Bistro. I enjoyed my meal there but it seems a bit inconsistent. Again, it just opened in September or thereabouts.
