we are having a celebration with 35-50 people and need a private dining room. type of food doesn't matter as much as quality. quiet, elegant, ourdoor space would be a plus. any suggestions?

It would be helpful to know your per person budget for food only, keeping in mind that you will have to add the cost of beverages (are you thinking of an open bar?), tax (nearly 9 %), and gratuity (20% automatically added by the restaurant).
That said...
if you want to go very upscale, I would suggest per se, Daniel, and Eleven Madison Park. All three offer superb cuisine and elegant ambiance. But no outdoor space.

The three restaurants I suggested offer private dining. Daniel is on 65th St., b/t Park & Madison. The private Bellcour Room has no view. per se is located in the Time-Warner Center. Although the restaurant does have a view of Central Park, I don't think the private room does. EMP faces Madison Square Park. The private rooms are on the second level and have a view of the park.
The only other restaurant that is situated facing Madison Square Park is SD26, which does have private dining (no views of the park). However, it is not even close to the level of EMP with regard to either food quality or elegance.

The smaller private dining room at Per Se, which seats a maximum of 11 guests, has a view of the park. The larger private dining room has no view.
The OP's food budget of $100 per guest will not be sufficient for Per Se, Daniel, or EMP, though EMP might be a possiblity for lunch.

In addition to the other great suggestions, you might want to call Bouley. They recently refurbished their downstairs private dining room, and it's gorgeous! Dinner would probably be outside of your budget, but if lunch is a possibility for you, it might work.

I went to an event of about that size recently at the Andaz Hotel near the NY Public Library. It felt more like a fabulous apartment than a restaurant -- open kitchen, lounge area, big windows, and an outdoor courtyard. The food was great. Not sure if the event has happened already but landmarc at the time warner center has 2 private rooms. Went to a birthday party there - the food, staff and ambiance are great!
